Agreement to Terms

By accessing placidchills.com, purchasing any product or service, or engaging with Placidchills in a professional capacity, you agree to these Terms of Service. If you do not agree, do not use this website or its services.

Services Offered

Placidchills offers the following services:

• Beat Licensing — Non-exclusive and exclusive licences to use original musical productions
• Mastering Services — Professional audio mastering for artists' finished mixes
• Custom Production — Bespoke music production created to a client's brief

Intellectual Property & Copyright

All beats, instrumentals, productions, and creative works produced by Placidchills are protected under the Indian Copyright Act, 1957 and applicable international copyright conventions.

Purchasing a non-exclusive beat licence does not transfer copyright or ownership of the musical composition to the buyer. The Producer (Soumyajit / Placidchills) retains all copyright, neighbouring rights, and producer credits unless a written exclusive agreement explicitly states otherwise.

For custom productions delivered under an exclusive agreement, copyright transfer terms will be specified in the project agreement signed by both parties.

Beat Licence Terms

All beat purchases are governed by the Beat Licence Agreement applicable to the tier purchased. By completing a purchase, you agree to the terms of the relevant licence. Please review the full Licensing page before purchasing.

Key obligations for all non-exclusive licences:

• You must credit "Prod. Placidchills" in all releases, streaming metadata, social media descriptions, and video descriptions
• You may not sell, transfer, sublicense, or give the beat to any other artist or entity
• You may not register the beat or instrumental as your own copyright with any performing rights organisation or copyright registry
• You may not use the beat in any manner that exceeds the limits of your purchased tier

Mastering Services Terms

• You must own or have full rights to the audio you submit for mastering
• Submitting audio that infringes the rights of a third party is your sole responsibility
• Delivered masters may not be resold or represented as the work of another engineer
• Turnaround times are estimates. Rush delivery is guaranteed subject to workload at time of booking

Custom Production Terms

• All custom productions begin with a signed project brief or email confirmation of scope
• A 50% deposit is required before work begins
• Final files are delivered upon receipt of the remaining balance
• Revision rights are limited to the number agreed in the project scope
• Placidchills retains the right to claim production credit ("Prod. Placidchills") on all custom productions unless waived in writing

Payments

Payments are processed through Payhip and/or Razorpay. All prices are listed in Indian Rupees (INR) unless otherwise stated. Prices are subject to change without notice; the price at time of purchase is the final price.

Prohibited Uses

You may not use this website or any purchased product or service to:

• Create content that promotes violence, terrorism, child exploitation, or illegal activity
• Infringe the intellectual property rights of any third party
• Misrepresent the source or authorship of any production
• Register a leased beat as your own copyrighted work
• Use purchased beats for synchronisation in film, TV, advertising, or games without upgrading to an appropriate licence

Limitation of Liability

To the maximum extent permitted by law, Placidchills shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of this website or any purchased service. Our total liability for any claim arising from a purchase shall not exceed the amount you paid for that specific product or service.

Indemnification

You agree to indemnify and hold harmless Placidchills, Soumyajit, and any associated parties from any claims, damages, losses, or expenses (including legal fees) arising from your violation of these Terms, your use of purchased products, or your infringement of any third-party rights.

Changes to Terms

We reserve the right to update these Terms at any time. Continued use of the website or services after changes are posted constitutes acceptance of the revised Terms.

Governing Law & Jurisdiction

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts of Mumbai, Maharashtra, India. We encourage resolution of disputes through direct communication before any legal action.
